About Govvara

Govvara emerged from recognition that many Thai organizations, particularly those transitioning from family ownership to institutional structures or preparing for public listing, benefit from specialized guidance in establishing governance frameworks. Founded in February 2019, our practice focuses on the intersection of Thai corporate law, Securities and Exchange Commission requirements, and practical organizational implementation.

Our founding team brought together experience from corporate secretarial practice, compliance consultancy, and listed company board administration. This combination of perspectives allows us to address both the technical regulatory requirements and the operational realities organizations face when implementing governance structures.

We work primarily with Thai businesses at transitional stages: family enterprises establishing formal board structures, companies preparing for Stock Exchange of Thailand listing, and existing listed companies enhancing their governance frameworks. Our approach emphasizes documentation clarity, procedural consistency, and alignment with both mandatory requirements and voluntary best practices.

The practice has grown to serve organizations across various sectors, including financial services, manufacturing, property development, and technology. While each sector presents distinct governance considerations, our fundamental methodology remains consistent: understand the regulatory framework, assess the organizational context, and develop practical implementation pathways.

We maintain current knowledge of evolving regulatory expectations through ongoing monitoring of Securities and Exchange Commission announcements, Stock Exchange of Thailand governance code updates, and relevant Public Limited Companies Act amendments. This regulatory awareness informs our framework development and allows us to address emerging compliance requirements.

Our Expertise in Context

Corporate governance in Thailand operates within a framework established by the Public Limited Companies Act, Securities and Exchange Act, and related regulations. For listed companies, the Stock Exchange of Thailand's governance code provides additional requirements, while the Securities and Exchange Commission issues principles and guidelines that shape governance expectations.

Our practice emerged from working with organizations navigating these requirements during periods of structural change. Whether a family business establishing its first independent board, a company preparing for public offering, or a listed entity enhancing its governance framework, the fundamental challenge involves translating regulatory requirements into functional organizational structures.

This translation requires understanding both the regulatory intent and the organizational context. A governance framework that works well for a mature listed company may not suit a business in earlier development stages. Our approach involves assessing current organizational capacity, identifying applicable regulatory requirements, and developing implementation pathways that organizations can realistically follow.

On compliance matters, Thai organizations face requirements ranging from the Organic Act on Counter Corruption to anti-money laundering regulations, competition law provisions, and sector-specific rules. Compliance program design involves not just policy documentation but also consideration of reporting mechanisms, training needs, and monitoring systems.

We support organizations in establishing these structures through systematic processes: policy development, procedural documentation, training material preparation, and implementation guidance. The objective is creating compliance infrastructure that organizations can maintain and adapt as regulations evolve.

Our board and shareholder meeting administration services address the procedural requirements that listed companies and public limited companies must fulfill. This includes notice preparation aligned with legal requirements, agenda structuring that facilitates proper deliberation, minutes that accurately capture decisions, and filing procedures that meet Ministry of Commerce and Securities and Exchange Commission requirements.
